The subscription period for the warrants of series TO2 (the \u201cWarrants\u201d) issued by Fragbite Group AB (publ) (\u2018Fragbite Group\u2019 or the \u2018Company\u2019) runs until 15 October, and the last day of trading in the Warrants is today, 10 October.<\/strong><\/p>\n<\/div>\n

The subscription period for the Warrants of series TO2 issued in connection with Fragbite Group's rights issue of units, as announced on 23 May 2024, began on 5 October and runs until 15 October 2024. The subscription price is set at SEK 0.03 per share. The last day of trading in the Warrants is today, 10 October 2024.<\/p>\n

Overview of Warrant terms<\/strong>
Each Warrant entitles the holder to subscribe for one (1) new share in Fragbite Group at a subscription price of SEK 0.03. Upon full exercise of the Warrants, the Company will receive a maximum of approximately SEK 11.1 million before issue costs. The subscription period started on 5 October and runs until 15 October 2024. Please note that an earlier last date for subscription may apply to holders of Warrants who hold nominee-registered Warrants. The last day of trading in the Warrants is today, 10 October 2024.<\/p>\n

Shares and share capital<\/strong>
Upon full subscription of the Warrants, the number of shares in Fragbite Group will increase by 369,287,024 to a total of 3,641,111,418 shares, and the share capital will increase by SEK 6,154,677.42 to SEK 60,684,142.12. Full subscription will result in a dilution of 10.14%.<\/p>\n

Exercise of Warrants<\/strong><\/p>\n

Nominee-registered Warrants<\/em>
If the warrant holder has his\/her Warrants in a custody account, investment savings account or endowment insurance (nominee-registered ownership), subscription and payment are made with the nominee, who provides further instructions on how to exercise the Warrants. Processing times may vary between nominees. Warrants not exercised for subscription by 15 October 2024 will expire without value.<\/p>\n

Directly registered Warrants (VP account)<\/em>
Subscription is carried out via the application form available on Carnegie Investment Bank AB's website www.carnegie.se<\/a> and Fragbite Group's website www.fragbitegroup.com<\/a>. A pre-printed application form was sent prior to the subscription period to direct registered warrant holders. Payment and submission are carried out according to instructions on the application form.<\/p>\n

Trading in the Warrants<\/strong>
Holders who do not wish to exercise their Warrants have the opportunity to sell them on Nasdaq First North Growth Market. The Warrants are traded until today 10 October 2024 under the ticker Fragbite Group TO2 and with ISIN SE0022420881.<\/p>\n<\/div>\n
